PURCHASE AGREEMENT

This Purchase Agreement (“Agreement”) governs the sale of research materials by Vital Peptides Labs (“Company,” “we,” “us,” or “our”) through www.vlab23.com (the “Website”) to the purchaser (“Buyer” or “Customer”).

By placing an order with Vital Peptides Labs, Buyer agrees to be bound by the terms and conditions set forth below.

1. DEFINITIONS

For purposes of this Agreement, “MATERIAL” means any product and/or service purchased from Vital Peptides Labs, including but not limited to peptides, proteins, liquids, powders, chemicals, laboratory reagents, labware, or related hardware.

2. RESEARCH USE ONLY – NO HUMAN OR ANIMAL CONSUMPTION

All MATERIAL sold by Vital Peptides Labs is intended strictly for laboratory research and development purposes only.

• Products are NOT for human or animal consumption.
• Products are NOT for clinical, diagnostic, therapeutic, cosmetic, veterinary, or household use.
• Products are NOT intended to diagnose, treat, cure, or prevent any disease.
• Statements on this Website have not been evaluated by the U.S. Food and Drug Administration (FDA).

Basic scientific research does NOT include clinical trials, human testing, veterinary testing, diagnostic use, food use, drug use, medical device use, cosmetic use, or commercial resale applications.

3. COMPANY STATUS

By placing an order, Buyer certifies that they meet this age requirement.

5. QUALIFIED RESEARCHER REQUIREMENT

Buyer represents and warrants that:

1. Buyer is a qualified professional or researcher.
2. Buyer understands the hazards associated with handling research chemicals.
3. Buyer possesses the necessary knowledge and facilities to safely handle MATERIAL.
4. Buyer will use MATERIAL in compliance with all applicable federal, state, and local laws and regulations.

6. ASSUMPTION OF RISK & INDEMNIFICATION

Buyer acknowledges that MATERIAL may present health and safety hazards.

Buyer agrees that:

• Vital Peptides Labs shall not be liable for special, incidental, or consequential damages under any legal theory.
• Buyer assume(s) all responsibility for the handling, storage, transportation, and use of MATERIAL.

Buyer agrees to indemnify, defend, and hold harmless Vital Peptides Labs, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, expenses, or legal fees arising from Buyer’s handling, use, misuse, resale, or distribution of MATERIAL.

7. NO PATENT LICENSE

Vital Peptides Labs does not warrant that the sale or use of MATERIAL will not infringe upon any patent rights.

The listing of a MATERIAL on this Website does not grant any license, express or implied, to use any patented invention.

8. RESTRICTIONS ON RESALE & TRANSFER

Buyer receives a limited, non-transferable right to use purchased MATERIAL solely for internal research purposes.

Buyer may NOT:

• Resell MATERIAL
• Repackage or relabel MATERIAL
• Supply MATERIAL to any third party
• Use MATERIAL in commercial applications
• Export MATERIAL without compliance with all applicable export laws

If Buyer intends to provide MATERIAL to any third party, prior written approval from Vital Peptides Labs is required.

9. REGULATORY COMPLIANCE

Buyer warrants that any MATERIAL produced using products purchased from Vital Peptides Labs will not be adulterated or misbranded under the Federal Food, Drug, and Cosmetic Act.

Buyer assumes responsibility for compliance with:

• Federal Food, Drug, and Cosmetic Act
• Toxic Substances Control Act (TSCA), if applicable
• All applicable state and federal regulations

Buyer is responsible for verifying whether MATERIAL appears on the TSCA inventory where required.

10. ORDER ACCEPTANCE POLICY

Order confirmation does not constitute acceptance of an order.

Vital Peptides Labs reserves the right to:

• Refuse or cancel any order at any time
• Limit quantities
• Decline sales to unqualified customers

11. PAYMENT TERMS

We accept credit cards and other approved forms of payment.

12. SHIPPING POLICY

13. OUT-OF-STOCK ITEMS

Any legal action must be filed in the county where Vital Peptides Labs maintains its principal place of business.

Buyer agrees to pay reasonable attorney’s fees and costs incurred by Vital Peptides Labs in enforcing this Agreement where permitted by law.

17. COPYRIGHT & TRADEMARK NOTICE

All Website content including text, logos, graphics, product descriptions, images, and design elements are the exclusive property of Vital Peptides Labs.

Unauthorized reproduction, distribution, or use is strictly prohibited.

18. PRIVACY

Vital Peptides Labs collects personal information necessary to process orders, including:

1. STRICT RESEARCH USE CERTIFICATION

Prior to completing any purchase, Buyer must affirmatively certify that:

2. Buyer is not purchasing MATERIAL for human or animal consumption.
3. Buyer understands that MATERIAL is not approved by the U.S. Food and Drug Administration.

5. Buyer will not misrepresent the intended use of MATERIAL.

Vital Peptides Labs reserves the right to require additional documentation verifying research status before fulfilling any order.

2. CUSTOMER VERIFICATION & ORDER REVIEW

Buyer agrees to cooperate with reasonable compliance inquiries necessary to satisfy payment processors, banking partners, or regulatory authorities.

8. RIGHT TO REFUSE SERVICE

Vital Peptides Labs reserves the right to:

• Refuse or cancel any transaction
• Limit order quantities
• Suspend or terminate customer accounts
• Require additional compliance verification

This right may be exercised at our sole discretion to maintain merchant banking compliance and regulatory integrity.

9. ACKNOWLEDGMENT OF NON-CONSUMER STATUS

Buyer acknowledges that MATERIAL sold by Vital Peptides Labs is not a consumer product.

By completing a purchase, Buyer affirms that they are acting in a professional research capacity and not as a consumer purchasing goods for personal use.
